Terms of Service

These Terms of Service ("Terms") are an agreement between you ("you", "your business") and ModSapp ("ModSapp", "we", "us") and govern your use of the ModSapp platform and services. By signing up for or using ModSapp, you agree to these Terms. If you do not agree, do not use the service.

1. The service

ModSapp provides an AI sales assistant that connects to your WhatsApp number to answer customers, take orders, request payments and keep records, together with a dashboard to manage your business. Features and plans may change over time as we improve the service.

2. Your account

• You must provide accurate, complete information and keep it up to date.
• You are responsible for activity under your account and for keeping your login details secure.
• You must be authorised to operate the business and WhatsApp number you connect.

3. Your responsibilities

• Use ModSapp lawfully and only for a legitimate business you are entitled to run.
• Keep your product, price, stock and delivery information accurate — you are responsible for what your assistant tells customers and for fulfilling orders.
• Comply with WhatsApp's and Meta's terms and policies, and obtain any consent required to message your customers.
• Be responsible for your relationship with your own customers, including delivery, quality, and any refunds you offer them.

4. Acceptable use

You must not use ModSapp to sell illegal or prohibited goods or services, to send spam or scams, to deceive or defraud, to infringe others' rights, or to transmit unlawful, harmful or abusive content. We may suspend accounts that breach this section.

5. Fees & payment

• You agree to pay the fees for your chosen plan, plus any one-time setup fee.
• All fees are non-refundable as set out in our Refund Policy.
• Fees are quoted in Ghana Cedis (GHS) and are exclusive of any applicable taxes unless stated.
• If payment is overdue, we may suspend or limit your service until it is settled.

6. AI-generated responses

ModSapp uses AI to generate replies. AI can occasionally be wrong or misunderstand a message. You are responsible for monitoring your conversations and you can take over any chat at any time. The assistant's replies are not professional, legal, medical or financial advice. While we recalculate order totals on our servers for accuracy, you remain responsible for honouring and fulfilling the orders placed.

7. Third-party services

ModSapp relies on third parties — including WhatsApp/Meta, Paystack (payments), our messaging and AI providers, and hosting. Your use is also subject to their terms. We are not responsible for outages, changes, fees or actions of these providers, including if WhatsApp restricts or disconnects a number.

8. Payments your customers make

Payments your customers make for your products are processed through Paystack into your arrangement and are between you and your customer. ModSapp facilitates the request and records the transaction but is not a party to the underlying sale and is not responsible for the goods or services you provide.

9. Intellectual property

ModSapp and its software, design and content are owned by us. You retain ownership of your own business content (products, messages, customer data). You grant us the limited rights needed to host and process that content to provide the service.

10. Privacy

Our handling of data is described in our Privacy Policy, which forms part of these Terms.

11. Availability & changes

The service is provided on an "as is" and "as available" basis. We aim for high reliability but do not guarantee uninterrupted or error-free service, and we may modify, add or remove features. We may carry out maintenance that temporarily affects availability.

12. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that risks harm to ModSapp, other users, or third parties. You may stop using the service and cancel as described in the Refund Policy. On termination, your right to use the service ends; provisions that by nature should survive (e.g. fees owed, liability, IP) continue.

13. Limitation of liability

To the maximum extent permitted by law, ModSapp is not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold ModSapp harmless from claims, losses and costs arising out of your use of the service, your content, your dealings with your customers, or your breach of these Terms or applicable law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected on this page with a new date. Continued use after changes means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction over any dispute, without prejudice to any mandatory consumer rights you may have.
